Terms, Conditions & Signatures

PRICE: All prices are subject to change without prior notice;
ORDERS: No order from the CLIENT will be binding upon HEWITT unless it is made in conformity with the terms and conditions of the present agreement and has been approved by a duly authorised representative of HEWITT. Failure on the part of the CLIENT to provide a purchase order will not, under any circumstances, constitute justification for the latter’s release and will have no effect on the CLIENT’s obligations to HEWITT;
TAXES: All taxes of any nature whatsoever, imposed and/or which might, from time to time, be imposed by the relevant authorities, concerning goods and services forming part of any transaction with the CLIENT, are the exclusive responsibility of the CLIENT, over and above the price charged to the CLIENT;
CLIENT’S REPRESENTATIVE: The CLIENT acknowledges and agrees that any representative of the CLIENT who signs a purchase order, requisition, contract, acknowledgment of receipt, bill, or any other similar document shall, in so doing, be deemed to be an authorised representative of the CLIENT having the capacity to contractually bind the latter;
OTHER CHARGES: All sums due to HEWITT, not paid on their due date, shall bear interest at the rate of 24% per annum (i.e. 2% per month). The CLIENT agrees to pay all reasonable fees and expenses incurred by Hewitt to enforce the present terms and conditions;
RISK OF LOSS: The risk of loss and/or damages to all goods sold or rented are the exclusive responsibility of the CLIENT from the moment the latter takes possession thereof until such time as the said goods have been returned to HEWITT and received by the latter;
PROMISE: The CLIENT acknowledges that it has not received from HEWITT any promise or guarantee with respect to the capacity and/or performance of the goods and equipment sold or leased. Consequently, HEWITT will not be responsible for any loss or damages of any nature whatsoever resulting from or that might result from the utilisation or the use of the said equipment. The CLIENT further undertakes to indemnify and/or hold harmless HEWITT for any claim or action emanating from a third party concerning the utilisation or use of the goods and equipment sold and/or leased to the CLIENT;
SUSPENSION OF BENEFITS: In the event that the CLIENT should be in default to pay any sum due to HEWITT at its due date, or to execute any of its obligations to HEWITT, the latter may, without prejudice to any of its other rights and recourses, suspend the supply to the CLIENT of all goods and services;
NON-RESPONSIBILITY: Save and except in the case of intentional or gross negligence, HEWITT will not be responsible for any default or delay in the execution of its obligations;
ILLEGALITY: In the event that any part of the present agreement is declared invalid, illegal or unenforceable by any authority competent to hear a dispute relating to this contract, the present agreement will not be cancelled, however, the part which has been deemed invalid, illegal or unenforceable shall be reputed to have never existed and the balance of the agreement will continue to be binding upon the parties, in full;
APPLICABLE LAW AND ELECTION OF DOMICILE: The present agreement shall be interpreted and enforced in accordance with the laws of the Province of Nova Scotia and the parties hereto elect domicile in the City and District of Halifax for all legal purposes;
FAC-SIMILE SIGNATURES: The parties expressly agree that the present agreement of credit application and opening of account, together with any other documents including any contract, which may be exchanged between the parties, may be sent, completed and signed by fax. In such case, it is agreed that the fac-simile signatures of the parties will have the same force and effect as if they had been executed and remitted in original form;
TRUE INFORMATION: The CLIENT (and if need be its owners and/or shareholders) represents and warrants that the information supplied to HEWITT in the present credit application and opening of account is true and exact as of the date of the present; the CLIENT furthermore undertakes to inform HEWITT, in writing, and without delay, of any change, if need be, relating to said information. In the event that any of the information is revealed to be false, in whole or in part, HEWITT may, without prejudice to its other rights and recourses, suspend the supply of goods and services to the CLIENT;
COLLECTION, USE AND COMMUNICATION OF INFORMATION: The CLIENT (and if need be its owners and/or shareholders) authorises HEWITT to use the necessary information concerning the CLIENT that HEWITT possesses or may possess for the purposes of granting credit facilities and further authorises HEWITT to reveal this information to any of its subsidiaries for the same purpose. Furthermore, the CLIENT agrees that HEWITT may obtain information concerning the CLIENT from any parties that may be susceptible to possess such information (information and credit agencies, financial institutions, creditors, employers, tax authorities, public authorities and parties with whom it may have a business relationship), in order to determine the veracity of the information supplied to HEWITT from time to time as well as to assure itself, at all times, of the CLIENT’s solvency (as well as of its owners and/or shareholders);
OTHER CONTRACTS: The conditions contained in the present are general conditions that apply to all contracts and to any transaction that may occur between the parties. However, these conditions are in addition to the specific conditions which are found and/or may be found in the HEWITT sale, lease and service agreements, and a copy of each of said contract is annexed hereto to form an integral part hereof. In the event of contradiction between the conditions contained in the present and those contained in the particular contracts herein above mentioned, it is agreed that the terms of the specific contracts will override the general conditions. The terms and conditions of the present, together with those of the specific contracts will, in all cases, override any incompatible provisions contained in the purchase orders or requisitions of the CLIENT;
REVIEW OF THE AGREEMENT: The CLIENT expressly declares having examined, read and understood the terms and conditions of the present agreement, and to have received a copy thereof, together with the HEWITT sale, lease and service contracts. The CLIENT further declares having had the opportunity and the possibility of consulting an attorney before signing this agreement. The CLIENT further recognizes that the clauses contained in the present are reasonable, fair and acceptable, in the circumstances. The person signing the present agreement expressly declares and warrants having the right and the capacity to so do and declares himself (herself) personally responsible for any false declaration;
The parties agree that this Agreement and all documents relating thereto shall be written and interpreted in the English language only.
